Vseukrainsky Aktsionerny Bank (VABank) has dealt on the Ukrainian stock market as an independent registrar for over 6 years now. Our stock register keeper activities are regulated by the licence No. 558460 of the Securities and Stock Market State Committee (SSMSC) .

Services Available to Issuers :

development of new register systems upon placement of stock issues or acceptance of existing systems from previous register keepers;
keeping stock registers;
organisation and holding of shareholders' assemblies (drafting agendas; placement of announcements in central and local printed periodicals; notification of shareholders; publishing voting papers; assembly attendees' registration; keeping and publication of minutes);
dividends calculation, accrual and disbursement;
upon Issuer's request, information delivery to shareholders;
advisory and documentary support of new stock issues;
consultancy services on securities turnover and titles accounting; issuing stock certificates; reorganisation of joint-stock companies; drafting and processing articles of association;
processing and delivery in paper and electronic formats of joint-stock companies' annual reports; submission of reports to SSMSC; upon Issuer's request, placement of his current information on the web-page of a respective information agency.

VABank's services as a stock registrar are rendered based on an agreement entered into by an Issuer. The following documentation should be made available to the Bank before it opens an Issuer account:

Issuer's application form;
copy of Charter, either notarised or certified by a registration authority;
copy of Incorporation Certificate, either notarised or certified by its signatory;
copies of State Registration Certificates of all stock issues, either notarised or certified by an original signatory;
bank reference proving availability of a current account;
copy of an appointment of Issuer's representative empowered to act without power of attorney, certified by the Issuer.

Services Available to Registered Persons:

opening, servicing and closing personal stock register accounts;
entering holders' authorised representative information into personal accounts;
updating register systems following registered securities encumbrance, transfer to/from nominal holders' or Issuer's accounts, or titles transfer;
updating personal accounts with new contact information and bank details;
issuing register statements and stock certificates;
verification of owner's original signature on transfer orders;
verification of proxies empowering participation and voting at shareholders' assemblies of Issuers whose registers are kept by the Bank;
recording, processing and responding to register system information requests;
consultancy services on securities turnover and titles accounting.

Personal register accounts for natural persons are opened on submission to the Registrar of personal application forms.

Legal entities' submissions for personal register accounts opening should include: an application form; a copy of Incorporation Certificate certified by the legal entity; a copy of Charter, either notarised or certified by the respective registration authority (or an extract from Charter certified by the legal entity's stamp); a copy of an appointment of issuer's representative empowered to act without power of attorney, certified by the legal entity's stamp.
